As of 11 October 2026, this is a reference for those who think of holding property through a sole proprietor or an LLC. It gives no advice either way. It does not replace a lawyer. It holds only what the official texts confirm. The rest is marked "ask".

Two ways to own

You can buy an apartment as an individual. You can also put it in the name of a legal entity, such as an LLC. An individual entrepreneur, or IE, is an individual with entrepreneur status.

These are different ways to own. They bring different taxes, reporting and risks. What suits you depends on your goals. Discuss it with a lawyer and a tax adviser.

Registering an IE

The National Agency of Public Registry lists these fees:

  • GEL 26 for registration within 1 working day;
  • GEL 75 for registration on the day of filing.

The fee page does not list the documents a foreigner needs. Ask the Public Registry.

Registering an LLC

The fees on the same page:

  • GEL 200 for 1 working day;
  • GEL 400 on the day of filing.

The documents for a foreigner and the requirements for founders are not on the page. Ask the Public Registry.

Profit tax: the Estonian model

By the English text of the Tax Code, the object of profit tax for a resident enterprise is distributed profit. The profit tax rate in that text is 15%.

The text on the Revenue Service site is an edition of around 2019. We did not confirm that it is current for 2026. Ask the Revenue Service.

Small business

By the same text, the status of small business can be granted to an entrepreneur who is an individual. The Government may ban activities for which the status is not given.

We did not confirm the income limit or the tax rate for small business. On matsne.gov.ge we could open a Finance Ministry order in its first edition of 2010. It is outdated, so its limit and rates cannot be taken as current.

The sources do not say whether small business fits renting out and reselling property. Ask the Revenue Service.

Do an IE or an LLC give a residence permit

Registering an IE or an LLC does not give a residence permit by itself. The law provides a work residence permit for a foreigner who does business or works in Georgia. It requires an income of at least five times the subsistence minimum. The enterprise must also have an annual turnover of at least GEL 50,000. Since 1 March 2026 the right to labour activities is also needed. Details are in the article on the work permit.

What the official pages do not say

Ask these questions at the Public Registry or the Revenue Service:

  • which documents a foreigner needs to register an IE or an LLC;
  • property tax of legal entities in the 2026 edition;
  • the tax when a legal entity sells an apartment;
  • which taxes an IE pays on rent.
